Mutual Non-Disclosure Agreement

This Non-Disclosure Agreement ("Agreement") is entered into as of the date signed below, between OFF-MARKET, a division of Reitsma LLC, a California limited liability company ("Disclosing Party"), and the undersigned individual or entity ("Receiving Party").

1. Confidential Information. "Confidential Information" means any and all non-public information disclosed by OFF-MARKET, including but not limited to: property listings, seller identities, financial statements, transaction structures, acquisition targets, business operations, client data, and any other proprietary information relating to off-market real estate or business opportunities.
2. Obligations. The Receiving Party agrees to: (a) hold all Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party without prior written consent; (c) use Confidential Information solely to evaluate potential transactions with OFF-MARKET; and (d) notify OFF-MARKET immediately upon any unauthorized disclosure.
3. Exclusions. This Agreement does not apply to information that: (a) is or becomes publicly available through no breach of this Agreement; (b) was rightfully known to Receiving Party prior to disclosure; or (c) is required to be disclosed by law or court order.
4. Term. This Agreement shall remain in effect for a period of two (2) years from the date of signing, and shall survive any termination of discussions between the parties.
5. Remedies. The Receiving Party acknowledges that any breach of this Agreement would cause irreparable harm to OFF-MARKET, entitling OFF-MARKET to seek injunctive relief in addition to all other available remedies.
6. Governing Law. This Agreement shall be governed by the laws of the State of California, without regard to its conflict of laws principles.
7. Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions and agreements.

By signing below, the Receiving Party acknowledges that they have read, understood, and agree to be bound by the terms of this Agreement.
